1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and SMART-WARES PTE LTD ("Company," "we," "us," or "our") concerning your access to and use of the SmartClinicWorks platform and services.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.
2. Description of Services
SmartClinicWorks is an AI-powered clinic management system that provides healthcare professionals with tools for:
- Patient record management
- Appointment scheduling
- Clinical documentation
- Billing and invoicing
- AI-assisted clinical decision support
- Reporting and analytics
3. User Accounts
3.1 Account Creation
To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Responsibilities
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.
3.3 Eligibility
You must be a licensed healthcare professional or authorized clinic staff member to use our services. By creating an account, you represent that you meet these requirements.
4. Acceptable Use Policy
You agree not to:
- Use our services for any unlawful purpose
- Violate any applicable healthcare regulations or privacy laws
- Attempt to gain unauthorized access to our systems
- Transmit viruses, malware, or harmful code
- Interfere with or disrupt the services or servers
- Use automated systems to access the services without permission
- Impersonate any person or entity
- Share your account credentials with unauthorized users
5. Intellectual Property Rights
The services, including all content, features, and functionality, are owned by SMART-WARES PTE LTD and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the services for your legitimate business purposes in accordance with these Terms.
6. Data and Privacy
Your use of our services is also governed by our Privacy Policy. We are committed to protecting patient health information in compliance with HIPAA, PDPA, and other applicable data protection regulations.
You retain ownership of all patient data you input into the system. We process this data solely to provide our services to you.
7. Payment and Subscription
7.1 Fees
Access to certain features may require payment of fees. All fees are exclusive of applicable taxes unless otherwise stated.
7.2 Billing
Subscription fees are billed in advance on a recurring basis (monthly or annually as selected). You authorize us to charge your payment method on file.
7.3 Cancellation and Refunds
You may cancel your subscription at any time. Cancellations will be effective at the end of the current billing period. Refunds are not provided for partial subscription periods.
8. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the services will be uninterrupted, error-free, or completely secure.
The AI-assisted features are tools to support clinical decision-making and do not replace professional medical judgment. You are solely responsible for all clinical decisions.
9. Limitation of Liability
To the maximum extent permitted by law, Smart-Wares Pte Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless SMART-WARES PTE LTD from any claims, damages, losses, liabilities, and expenses arising from your use of the services or violation of these Terms.
11. Termination
We reserve the right to suspend or terminate your access to the services at any time, with or without cause, with or without notice, including for violation of these Terms.
Upon termination, you will have a reasonable period to export your data from the platform.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes. Your continued use of the services after such changes constitutes acceptance of the modified Terms.
